Our client is looking for a versatile Company Secretary & Compliance Officer, who will ensure regulatory compliance and manage corporate governance risks. The person needs to stay abreast of legal developments and advise management accordingly, the person will be key to maintaining the company's legal and regulatory integrity.
Responsibilities:
1. Manage and maintain statutory registers, records, licenses, and filings in compliance with regulatory standards and company laws.
2. Prepare and file necessary documentation for merger/demerger
3. Timely Compliance with regulators, exchanges, Registrar of the Companies, and any related authorities. (ALL SEBI LODR Compliances)
4. Arrangements and preparation of board meetings, AGMs, related documentation, etc.
5. Advise and comply on compliance matters, corporate governance, legal requirements, and further issues like Right Issue, preferential, etc.
6. Liaise with regulatory bodies, auditors, legal advisors, and other stakeholders as necessary.
7. Keep abreast of changes in relevant legislation and ensure the company's adherence to new regulations.
8. Attend and comply with Investor's grievances, complaints, queries, etc directly or indirectly via various regulatory platforms.
9. Other responsibilities related to Company Secretary and Compliance work.
10. Drafting of various policies of the Company in compliance with the Company Act, SEBI regulations, and Labour Laws.
11. Issue of NCDs and Compliances under NCD Regulations.
Skills and Qualifications:
1. Bachelor’s degree in any stream preferably in Commerce or Law.
2. Membership with a recognized professional body for Company Secretaries.
3. Minimum 5 years of experience in a similar role within an unlisted/Listed company (Listed company exposure preference)
4. Comprehensive knowledge of company law, corporate governance, regulatory requirements, etc.
5. Strong organizational and communication skills.
6. Ability to work effectively under pressure and manage deadlines.
7. Attention to detail and a high level of accuracy in documentation and compliance matters.
8. Proficiency in relevant software and tools for company secretarial duties.
Preferred Skills:
1. Experience in handling unlisted or listed companies.
2. Strong hold on Company Law, SEBI, and stock exchange listing requirements and procedures.
3. Understanding of financial reporting and disclosure obligations of listed companies.
